1. Agreement
These Terms of Service govern your use of Katars websites and any marketing, advertising, automation, content, analytics, or consulting services provided by Katars. By using the site or engaging Katars, you agree to these terms.
2. Services
The scope, timing, deliverables, fees, and client responsibilities for paid work are defined in the applicable proposal, order form, or statement of work. If that agreement conflicts with these terms, the signed agreement controls.
3. Client responsibilities
You will provide accurate information, timely approvals, lawful access to accounts and data, and the rights necessary for materials supplied to Katars. You remain responsible for product claims, inventory details, pricing, offers, and legal disclosures.
4. Fees and cancellation
Fees are due according to the applicable agreement. Late balances may pause work. Cancellation, renewal, media-spend commitments, and any non-refundable production costs follow the signed proposal or statement of work.
5. Intellectual property
Each party retains its pre-existing intellectual property. After full payment, you receive the rights described in the applicable agreement. Katars retains its general methods, know-how, templates, software, and tools, excluding your confidential information.
6. Confidentiality and data
Each party will use reasonable care to protect non-public business information received from the other. Katars may use approved service providers to deliver the services and will handle personal information as described in the Privacy Policy.
7. Disclaimers
Marketing performance depends on market conditions, inventory, pricing, media platforms, client follow-through, and other factors outside Katars' control. Except as expressly stated in writing, services are provided without warranties and no specific result is guaranteed.
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Katars' aggregate liability related to the services will not exceed the fees paid to Katars for the affected services during the three months preceding the claim.
9. Governing terms
If any provision is unenforceable, the remaining provisions remain effective. Neither party may assign a signed services agreement without the other's consent, except in connection with a merger, acquisition, or sale of substantially all assets. These terms and any signed agreement are the complete agreement for their subject matter.
